01Who we are
YLNMN ("YLNMN", "we", "us") is a marketing consultancy. We provide positioning, demand generation, marketing operations and LinkedIn management services to companies ("you", "the client"). By signing a proposal, paying an invoice or using our services, you agree to these terms.
02How an engagement starts
Every engagement begins with a written proposal that sets out the scope, the deliverables, the timeline and the fee. A proposal becomes binding when you accept it in writing (email counts) or pay the first invoice, whichever comes first.
Changes to scope after acceptance are agreed in writing. Small changes we absorb. Larger ones get a short change note with any effect on fee or timeline before we proceed.
03What we deliver
We deliver what the proposal says, to a professional standard, on the timeline it states. Our standard services are:
- Marketing Audit. A two-week review ending in a written diagnosis memo and a readout call.
- Growth Sprint. A twelve-week programme on one channel, run inside your tools, with weekly experiments and a playbook handover.
- Fractional Head of Marketing. Two days a week of senior marketing ownership on a rolling monthly basis.
- LinkedIn Management. Three posts a week in your voice, comment and inbox triage, and a monthly report, on a rolling monthly basis.
Deliverables are accepted when you confirm them in writing or when ten business days pass after delivery without written objection.
04Fees and payment
Fees are stated in the proposal and on our pricing page. Unless the proposal says otherwise:
- One-off work (the audit) is invoiced 100% on acceptance of the proposal.
- Monthly services (sprints, fractional, LinkedIn management) are invoiced monthly in advance on the first business day of each service month.
- Invoices are due within 14 days. Late payments accrue interest at 1% per month or the maximum allowed by law, whichever is lower, and we may pause work until the account is current.
- Fees exclude applicable taxes, which are added where required.
- Media spend, software subscriptions and third-party costs are paid by you directly. We do not mark up media and we do not resell software.
05Your responsibilities
Good work depends on access and decisions. You agree to:
- Give us timely access to the people, data, accounts and tools the engagement needs.
- Respond to requests for approval within five business days. Where you don't, timelines move accordingly.
- Make sure the materials you give us (brand assets, customer data, claims about your product) are accurate and that you have the right to share them.
- Comply with the terms of the platforms we work in on your behalf, including LinkedIn, advertising networks and your CRM.
06Accounts and access
Where we work inside your accounts (CRM, analytics, ad platforms, LinkedIn), we use access you grant, at the lowest level needed, and we never share credentials outside the team working on your engagement. You can revoke access at any time. For LinkedIn management we post only content you have approved in writing or under an approval rule you have set, and we never change your password or security settings.
07Intellectual property
Once an invoice is paid in full, you own the deliverables created for you under it: copy, creative, playbooks, dashboards, posts and reports. We keep ownership of our methods, templates, frameworks, checklists and any tooling we bring to the engagement, and we grant you a perpetual, non-exclusive licence to keep using whatever of it is embedded in your deliverables.
We may describe the engagement in anonymised form (sector, team size, type of work, results) in our own marketing. We will only name you, or quote you, with your written permission.
08Confidentiality
Each of us keeps the other's non-public information confidential, uses it only for the engagement, and shares it only with people who need it and are bound by equivalent obligations. This continues for three years after the engagement ends. It does not apply to information that is public, already known, independently developed, or that must be disclosed by law.
09Results and guarantees
We set targets with you and we report against them honestly. We do not guarantee specific outcomes such as lead volumes, follower counts, rankings or revenue, because those depend on your market, your product and decisions outside our control. Figures on our website describe past client results and are not a promise of yours.
10Liability
To the extent the law allows, our total liability to you for any engagement is limited to the fees you paid us under that engagement in the three months before the claim arose. Neither of us is liable to the other for indirect or consequential loss, lost profit, or lost data, except where caused by fraud, wilful misconduct or gross negligence. Nothing in these terms limits liability that cannot be limited by law.
11Term and termination
One-off engagements end when the deliverables are accepted. Monthly services roll month to month until either of us ends them with the notice set out in the Cancellation & Refund Policy. Either party may end an engagement immediately in writing if the other materially breaches these terms and does not fix the breach within 14 days of being told about it, or becomes insolvent.
On termination you pay for work done up to the end date, we hand over all accepted deliverables and work in progress, and we return or delete your confidential information on request.
12Non-solicitation
During an engagement and for six months after it ends, neither of us will directly solicit for employment the other's team members who worked on the engagement, without the other's written consent. General job advertisements are fine.
13Disputes and law
If something goes wrong, tell us and we will try to fix it within 14 days. If we can't, a senior person from each side will meet (in person or by video) to try to resolve it before anyone takes formal steps. These terms are governed by the laws of the jurisdiction in which YLNMN is registered, as stated on the invoice, and its courts have exclusive jurisdiction.
14Changes and contact
We may update these terms. The version in force when you accept a proposal applies to that engagement for its duration; changes apply to new engagements and, for rolling monthly services, from the next service month after we notify you. Questions about these terms go to hello@ylnmn.com.
